By accessing or using the Adda Property Management System and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Adda provides a cloud-based property management platform designed for hospitality businesses. The Service includes reservation management, guest management, housekeeping, billing, channel management, reporting, and related tools. We may update, modify, or discontinue features of the Service at any time with reasonable notice.
Subscription fees are based on the plan you select and the number of rooms managed. Current pricing is available on our website. We reserve the right to change pricing with 30 days' notice.
Subscriptions are billed monthly or annually, depending on the plan selected. Payments are processed through our third-party payment provider. You authorize us to charge your designated payment method for all applicable fees.
We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access until the end of the current billing period.

You retain all rights to the data you enter into the Service ("Your Data"). You grant us a limited license to use, process, and store Your Data solely for the purpose of providing the Service to you.
You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. You must ensure that your collection and use of guest data complies with all applicable privacy laws and regulations.
You may export Your Data at any time during your subscription. Upon termination, we will make Your Data available for export for 30 days, after which it may be deleted.
The Service, including its software, design, text, graphics, logos, and all other content, is the exclusive property of Adda and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Support is provided based on your subscription plan level, as described on our pricing page.
The Service may integrate with third-party services (e.g., payment processors, channel managers, OTAs). Your use of third-party services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.
To the maximum extent permitted by law, Adda and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total aggregate liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.
You agree to indemnify, defend, and hold harmless Adda and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Adda is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
